1. Company Registration and Service Overview
We (the "Company") are a service provider incorporated in the British Virgin Islands (BVI), operating an online platform that facilitates cryptocurrency contest campaigns. Although registered in the BVI, our operations extend globally (including Europe and the United States) in compliance with relevant international laws and standards.
This document outlines the official regulations and terms governing all contests run on our platform. By participating in any contest on our platform, you agree to these terms and conditions.
2. Role of the Company vs. Contest Organizers
Our platform enables third-party Token Issuers (the "Organizers") to host trading or participation contests for promotional purposes.
The Company itself does not sponsor or endorse the tokens or contests; we act solely as a neutral service provider that administers the contest in a transparent manner on behalf of the Organizer. All contest parameters such as duration, eligible trading pairs, prize structure, and winner criteria are defined by the Organizer, not by us. We operate the contest according to those preset rules and ensure it is carried out fairly and in accordance with this regulation document. In essence, the Company provides the technical infrastructure and oversight, while the Organizer provides the contest concept and prizes.
3. Contest Participation and API UsageParticipant Eligibility:
To enter a contest, participants must meet all eligibility criteria:Legal Age: You must be at least 18 years old (or the age of majority in your jurisdiction) to participate.
Legal Compliance: It is your responsibility to ensure that participating in our contests is legal in your country or region. Contests are void where prohibited by law. We reserve the right to restrict or refuse participation from certain jurisdictions if required by applicable regulations.
Single Account: Each individual is allowed only one account on our platform per contest. Creating or using multiple accounts to gain an unfair advantage is strictly prohibited.
API Read Access: All participation is conducted through secure read-only API access provided by the users:Participants may be required to connect their cryptocurrency exchange account or wallet to our platform via a read-only API key or other read-permission data feeds. This allows our system to retrieve necessary information (such as trading volume, transaction history, or holdings) to evaluate contest performance.
No Control over Funds: The API connection is strictly read-only. We do not have permission to make trades, withdraw funds, or perform any actions on your exchange account or wallet. You retain full control over your assets at all times. Our platform only gathers data needed to calculate contest results.
Data Privacy and Security: API keys and any sensitive user data are stored securely and used solely for contest purposes. We employ encryption and best practices to protect your information. We will never share or expose your API credentials or personal details to any third party without your consent, except as required to administer the contest or by law (see also Section 8 on Confidentiality).
By providing your API read access, you consent to the Company retrieving and processing your data for contest participation. If you revoke the API access or it becomes invalid during the contest, your participation may be incomplete or disqualified since we would be unable to verify your progress.
4. Contest Mechanics and Fair Play
Each contest will have a clear set of Official Rules provided (usually by the Organizer, in conjunction with our platform standards) that detail how winners are determined.
We execute the contest according to those rules, and we strive to maintain fair play and transparency in all aspects:Transparency: Key contest information (such as start and end time, evaluation metrics, prize structure, and current leaderboard standings) will be made publicly available.
We operate in full transparency regarding how winners are decided, by applying the published rules uniformly to all participants. For example, if a contest is based on trading volume, the exact calculation method for volume and the contest period are defined and known to all participants in advance.
Prohibited Conduct: To ensure fairness, participants must not engage in fraudulent or manipulative activities. Prohibited behaviors include, but are not limited to: wash trading (artificially inflating trade volume), using multiple accounts or fake identities, collusion between participants to game the results, or any other attempt to unfairly influence the outcome. The Company reserves the right to monitor contest data for signs of cheating or rule violations.
Anti-Cheating Measures: We have systems and algorithms in place to detect abnormal activities and enforce the rules (e.g., identifying patterns of wash trades or duplicate accounts).
Please note: certain specific monitoring techniques and fraud-detection algorithms are kept confidential by the Company. These internal measures are kept secret intentionally to preserve their effectiveness in preventing cheating and to protect the integrity of the contests. While we don't disclose these proprietary methods, participants can be assured that they are designed solely to uphold fairness.
Disqualification: If a participant is found to violate the rules or engage in prohibited conduct, we may disqualify that participant at our sole discretion. Disqualification can occur during or after the contest, even if the participant is potentially in a winning position. In cases of minor or unintentional violations, the Company may issue a warning or require corrective action at its discretion, but reserves the right to disqualify immediately for serious breaches. All decisions regarding rule violations and disqualifications are final (see Section 7 on Dispute Resolution).
We are committed to a level playing field. All valid participants have an equal opportunity to compete and win based on their performance as measured by the contest criteria, without any favoritism or behind-the-scenes adjustments.
5. Prizes and On-Chain Reward DistributionPrize Sponsorship:
All contest prizes (rewards) are provided by the Token Issuer/Organizer of the contest. The types of prizes and their values will be disclosed in the contest details. Prizes are typically denominated in cryptocurrency tokens, which may include the Organizer’s own token or other crypto assets (in some cases, prizes could be stablecoins or other digital assets as specified by the Organizer). The Company does not fund these rewards; our role is to facilitate distribution of the prizes that the Organizer has allocated for the contest.On-Chain Distribution: We distribute rewards on-chain, meaning prize payouts are executed as cryptocurrency transactions on a public blockchain:After contest results are finalized and verified, winners will be asked to provide a valid cryptocurrency wallet address (if not already provided) compatible with the prize token’s blockchain (e.g., an Ethereum address for an ERC-20 token prize).
The Company will then transfer the prize tokens on behalf of the Organizer to each winner’s provided address. These transactions are recorded on the blockchain for transparency and can be independently verified via block explorer tools. This on-chain distribution ensures an open and tamper-proof record of payouts, underscoring our commitment to transparency.
Winners will be notified of their prizes via our platform (and/or email notification), and transaction details (like transaction hash) will be made available as proof of payment. Please note that blockchain transactions can involve network fees; the Organizer or the Company will cover any standard transaction fees for sending the prize, so winners generally will not incur costs to receive their reward.
Claiming Prizes: In order to receive a prize, a winner must comply with any verification steps we require (to ensure the correct person is receiving the reward). This could include identity verification or additional information, particularly for substantial prizes or if required by law (for example, for fraud prevention or tax reporting). If a winner fails to respond or provide required information within a specified time (typically [X] days after notification, as detailed in the specific contest rules), we reserve the right to declare the prize forfeited or award it to the next eligible participant, depending on the Organizer’s instructions.No Cash Alternative: Prizes are as stated in the contest description (usually cryptocurrency tokens). There will generally be no alternative payout (no cash equivalent) unless explicitly offered. The value of crypto prizes can fluctuate with market conditions, and the Company and Organizer are not responsible for any changes in token value once delivered.
Taxes and Legal Responsibilities: Winners are solely responsible for any taxes, duties, or legal obligations that may arise from receiving a prize. We strongly advise winners to consult with a tax advisor regarding the proper reporting and handling of prize winnings in their jurisdiction. The Company or Organizer may be required by law in some cases to collect additional information from winners for tax reporting purposes, or to withhold a portion of the prize for tax compliance. Where applicable law requires, the Company (or Organizer) may issue tax forms or disclosures to relevant authorities. By accepting a prize, you agree that fulfilling any such tax obligations is your responsibility.
6. Transparency, Publicity, and Privacy
Our contests are meant to be transparent, but we also respect participant privacy:Public Leaderboards: During and after each contest, we may display a leaderboard showing top participants and their performance metrics (e.g. trading volume, points, etc.). By default, we will use your chosen username or screen name on the platform for any public rankings or winner announcements. We will not disclose personal identifying information (such as your real name or email) publicly without consent. If you win a prize, your username and general country/region (if provided) might be announced for transparency and promotional reasons, but sensitive personal details will remain private.
Personal Data Use: All personal information collected (such as email, wallet addresses, or any KYC details if needed for verification) will be handled according to our Privacy Policy. We use participant data only for administering the contest and improving our services. We do not sell personal data to third parties. However, by entering a contest, you agree that we may share necessary information with the Organizer or our partners strictly for prize fulfillment, verification, or compliance purposes. For example, we might share a winner’s wallet address with the token issuer to facilitate prize transfer if needed.
Publicity: With your consent, the Company or Organizer may use certain winner information for promotional activities. For instance, we might quote a winner’s username and contest performance in a marketing post or congratulate winners on social media. Any such publicity use will be reasonable and respectful. If you prefer not to have any publicity, you can contact us to opt out, and we will refrain from using your information in that manner.
Data Retention: We retain contest data (including API-collected trading data and results) for a period necessary to fulfill auditing and legal requirements, and to analyze and improve contests. After that period, or upon your request, personal data may be deleted or anonymized in accordance with our data retention policies and applicable law (noting that blockchain transactions, being public, cannot be deleted by us).

7. Disclaimers of LiabilityBy participating in a contest on our platform, you acknowledge and accept the following disclaimers and limitations of liability:No Endorsement or Advice: The Company does not endorse any particular cryptocurrency token or project. Hosting a contest for a token issuer does not constitute investment advice or an endorsement of that token’s value or legitimacy. Participants should conduct their own research and exercise caution when trading. We are not liable for any losses you may incur in the course of your own trading or activities related to the contest. All trading decisions you make are at your own risk.
Service Provision "As-Is": We provide the contest platform and its services on an "as-is" and "as-available" basis. While we strive for accuracy and uptime, we do not guarantee the platform will be free from errors, downtime, or technical glitches. For example, unexpected delays in data updates or system maintenance could occur. We will do our best to communicate and rectify any issues, but the Company is not responsible for technical problems or network issues beyond our control (including issues with third-party exchanges, APIs, or blockchain networks).
Limitation of Liability: To the fullest extent permitted by law, the Company (including our officers, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your participation in any contest, use of our platform, or acceptance of any prize. This includes, without limitation, any economic loss, loss of opportunity, trading losses, data loss, or damage to reputation. Our total aggregate liability under any circumstance for any claim related to a contest or these terms will be limited to the value of the prize in dispute (if applicable) or a nominal amount.
Participant Responsibility: You agree to release and hold the Company harmless from any claims, demands, or causes of action arising from your participation in a contest. This means you cannot hold us legally liable for issues such as: not winning a prize, perceived unfairness of outcomes, technical issues that affected your performance, prize value fluctuations, or any other matter arising from the contest. By entering, you accept that the contest is a competition with no guaranteed outcome for you, and you waive the right to claim any damages or losses from us, to the extent allowed by law.
No Warranties: The Company makes no warranties or representations of any kind, express or implied, about the accuracy of contest data or the fitness of the contest for a particular purpose. While we endeavor to prevent cheating and ensure fairness, we make no absolute guarantee that the contest will be perfectly fair or error-free. In the unlikely event of a mistake (such as a calculation error or software bug), we reserve the right to correct it, and such correction shall not be deemed a breach of these terms.
In summary, participation is at your own risk. These disclaimers are not intended to remove any mandatory protections you have under law, but in any case we do not assume liability beyond what is legally required.
8. Dispute Resolution and Finality of ResultsContest Specifications and Finality:
In the event of any dispute regarding contest results or rule interpretation, the official contest specifications and these Regulations will govern. All participants agree that the Company’s determination of the winners and any resolution of a dispute are final and binding. We base our decisions on the data collected via the APIs and the contest rules that were published. If you believe an error has been made, you must notify us in writing (or via our support channel) within a reasonable time frame after the contest (e.g., within 7 days of results announcement).
We will investigate any bona fide disputes in good faith. However, once a decision is made and prizes are distributed, the results are final. We will not reopen a contest or redistribute prizes absent a clear technical error or rule violation that significantly impacted the outcome, and even then, any remedy is at the Company’s discretion.
Internal Resolution: Most contest disputes (for example, questions about ranking or disqualifications) can be resolved by contacting our support team.
We encourage participants to reach out if they have concerns. Our team will refer to the contest’s official rules, the data, and these Regulations to explain or correct any issue if needed. We maintain detailed specifications and logs for each contest (timestamped data, API call records, etc.), which we can use to verify claims. These internal records are part of the "specs that protect us" – they serve as authoritative evidence in case of disagreements. We may share relevant portions of these records with the concerned participant to clarify outcomes, but some system logs or security-related info might remain confidential.Legal Disputes: If a dispute cannot be resolved informally and escalates to a legal claim:Such claims must be brought in the jurisdiction of the Company’s registration (BVI), unless another jurisdiction is mandatorily required by law for consumer protection reasons. By agreeing to these terms, you consent to the personal and exclusive jurisdiction of the courts in the British Virgin Islands for resolving any legal dispute (unless an alternative dispute resolution mechanism is provided for and chosen, such as arbitration).
These Regulations shall be governed by and interpreted in accordance with the laws of the British Virgin Islands. However, we will also adhere to any mandatory consumer protection laws of the country in which you reside, to the extent those apply and cannot be waived.
In any dispute, each party will bear its own costs and attorneys’ fees, unless otherwise determined by the adjudicating authority. Our liability will remain limited as described in Section 7, even in the context of a dispute.
Arbitration Clause (if applicable): At our discretion, we may include or offer an arbitration process for disputes. If an arbitration clause is in effect (as stated in our general Terms of Service), that clause would apply here as well, meaning you agree to resolve certain disputes through binding arbitration rather than in court, and waive the right to a trial by jury or to participate in class actions. (Refer to our general Terms of Use for details, if incorporated.)
No Class Actions: You agree that any claim against us will be on an individual basis. You will not combine your claim with others or seek any class or collective action against the Company. This ensures disputes are handled on their own merits and scope.By entering any contest, you indicate that you understand and accept this dispute resolution process. Our goal is to be fair and transparent, and we will make every reasonable effort to address concerns promptly and justly within the framework of the published rules.
9. Confidentiality and Proprietary Rights
As mentioned earlier, while we prioritize transparency in contest outcomes and rules, certain elements must remain confidential to protect the platform’s integrity and our intellectual property:Platform Technology: The software, algorithms, and methodologies we use to run contests (including anti-fraud detection, scoring systems, and data analysis tools) are proprietary to the Company. Participants are not entitled to access or review our source code or detailed algorithms. Attempting to reverse engineer, tamper with, or exploit our platform is strictly forbidden and will result in disqualification and potential legal action.
Confidential Measures: Any internal thresholds, formulas, or checks (for example, how exactly we flag a trade as a wash trade, or the precise weighting formula for a performance score if not public) are kept secret to prevent gaming the system. We believe this confidentiality ultimately benefits all honest participants by making it harder for bad actors to cheat.
User Data Confidentiality: We treat your linked account data as confidential. Other participants will not see your individual trading data or API information. Only aggregated or relative information (like leaderboard position or total volume) is visible publicly. We will not share your personal data or detailed activity with the contest Organizer or any external party except as needed to operate the contest or if required by law. All employees or agents of the Company with access to sensitive data are bound by strict confidentiality obligations.
Trade Secrets and Non-Disclosure: By using our platform, you agree not to misuse any information you might learn about our system. If, for example, during troubleshooting you become privy to some internal logic, you must not share it publicly. Similarly, any feedback or suggestions you provide to us might be used to improve our system, and we are not obligated to treat them as confidential or to compensate you for them (unless otherwise agreed in writing).
In summary, while contest rules and results are transparent, the behind-the-scenes safeguards and technology are protected. These measures help ensure the platform remains secure, fair, and competitive.
10. Regulatory Compliance
The Company is committed to operating within the bounds of applicable law and regulations across all jurisdictions in which we operate. Compliance and legality are paramount:BVI Compliance: As a BVI-registered business, we adhere to the laws and regulations of the British Virgin Islands. We maintain proper corporate governance and compliance practices as required by BVI authorities for our type of service. This includes any required licensing, reporting, or KYC/AML (Know Your Customer/Anti-Money Laundering) procedures mandated by BVI law for companies dealing with cryptocurrency or contests.
International Compliance: We also strive to comply with relevant international regulations. For example, we follow data protection laws such as the EU's General Data Protection Regulation (GDPR) when handling personal data of European users, and we respect U.S. regulations when dealing with U.S. residents (such as applicable sweepstakes laws or any guidance on digital assets). If necessary, we adjust contest structures to ensure they are legally permissible (for instance, ensuring contests qualify as skill-based and no purchase is necessary to enter beyond normal usage of an exchange, to avoid gambling or lottery classifications in certain countries). We expressly do not operate in any sanctioned or blacklisted jurisdictions, and we prohibit participation from individuals or entities on international sanctions lists (e.g. OFAC list in the U.S.), in compliance with global financial sanctions regimes.
No Securities Offering: The contests and rewards on our platform are promotional events, not investment offerings. Prizes (even if they are tokens) are given free of charge to winners of the contest; participants are not paying any entry fee to us for a chance to win. Nothing in our contests constitutes an offering of securities, trading advice, or a solicitation for investment. We do not facilitate the buying or selling of any tokens; any trading you do is on external exchanges at your own discretion. The Company does not act as a broker, financial institution, or gambling operator. By structuring contests as skill-based competitions with no direct payment required to participate, we aim to comply with contest/sweepstakes laws in the US, EU, and other jurisdictions.
Licenses and Permits: If any jurisdiction requires a license or permit to operate contests or promotions, we will obtain such licensing when applicable or otherwise restrict participation from that area until compliant. We monitor the evolving legal landscape for cryptocurrency and contests, and we update our practices accordingly to remain in compliance.
Changes in Regulation: Participants acknowledge that the regulatory environment for digital assets is rapidly evolving. Should any law or regulation change in a way that impacts our contests (for example, if a new law prohibits contest activity in a certain region or imposes new requirements), the Company reserves the right to modify, suspend, or cancel contests as necessary to comply. We may also update these Regulations to reflect such changes. We will provide notice of any material regulatory changes affecting contests, and we appreciate users’ understanding as we navigate compliance obligations.
By participating, you affirm that your actions (and the source of any funds you use in trading) are compliant with your local laws. You should not use our platform if any aspect of your participation would violate laws applicable to you.
11. Amendments and Termination
The Company reserves the right to amend these Regulations or any specific contest’s rules when necessary:Amendments: We may update this global contest regulation document from time to time for clarity, new features, or legal compliance. If we make significant changes, we will notify users through our platform or via email prior to the changes taking effect. The revised regulations will be posted with an updated effective date. Continued participation in contests after the effective date constitutes acceptance of the new terms. If you do not agree to the revised terms,
you should cease participating in contests and may close your account.
Contest Rule Changes: An individual contest’s rules (set by the Organizer) are generally fixed once the contest begins. However, in exceptional cases (e.g., to correct a clear error or address an unforeseen issue), minor adjustments might be made even after a contest has started. Any such changes will be communicated to all participants in a transparent manner (for example, posted on the contest page or emailed). We avoid rule changes mid-contest unless absolutely necessary for fairness or legality.
Termination of Contest or Service: We reserve the right to cancel or terminate a contest early at the Organizer’s request or due to circumstances beyond our control (such as extreme market conditions, exchange outages, suspected security breaches, or legal orders). If a contest is terminated prematurely, we will endeavor to award prizes fairly, for example by calculating results up to the point of termination, unless doing so would itself be unfair or impossible. Additionally, the Company may suspend or terminate the entire contest platform service if required (for instance, if compelled by law or if continuing becomes impractical). In such an event, we will provide notice and attempt to resolve any ongoing contest obligations in good faith.
User Account Termination: We may terminate or suspend your user account if you violate these Regulations, our Terms of Use, or for any security/ethical concerns. If your account is terminated, you forfeit any ongoing participation in contests (and any prospective claims to prizes), though any prizes already rightfully won and awarded prior to termination will remain yours.
Our goal is to provide a stable and enjoyable contest environment, and changes are made only with good reason. We encourage users to periodically review these Regulations to stay informed of any updates.
12. Miscellaneous ProvisionsEntire Agreement:
These Contest Platform Regulations (along with any specific rules for individual contests and our general Terms of Service and Privacy Policy) constitute the entire agreement between you and the Company regarding contest participation. In case of a conflict between these general Regulations and an individual contest’s rules, the individual contest rules will take precedence for that contest, but all general provisions (liability, dispute resolution, etc.) will still apply.
Severability: If any provision of these Regulations is found to be invalid or unenforceable by a competent legal authority, that provision will be applied to the maximum extent permitted, and the remainder of the Regulations will remain in effect.
No Waiver: The failure of the Company to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver must be explicit and in writing to be effective.
Assignment: You may not assign or transfer any of your rights or obligations under these Regulations without our prior written consent. The Company may assign its rights and obligations to an affiliate or in connection with a merger or acquisition, or to a successor entity, without your consent, provided that your rights are not materially affected.
Relationship: Participation in a contest does not create any agency, partnership, joint venture, or employment relationship between participants and the Company. You are participating as an independent individual (or entity), and nothing in these terms shall be construed as creating any form of legal association beyond the rules of the contest itself.

13. Acceptance of Terms
By participating in any contest on our platform, you acknowledge that you have read, understood, and agree to these Contest Platform Regulations and any contest-specific rules. You also agree to abide by the decisions of the Company and contest Organizers, which shall be final and binding in all matters relating to the contest.
If you do not agree with any part of these terms, do not participate in the contests.These Regulations aim to ensure a fair, transparent, and legally compliant experience for all users. Thank you for being a part of our contest platform, and good luck in your competitions!
